EpsteinSchwartz has a great opportunity for a strong transactional attorney to take on a significant role within a small legal department. Our client, a publicly-traded education company based in Chicago, is hiring an attorney with 5+ years of securities and other corporate experience to work closely with the General Counsel and Deputy General Counsel, as well as with the Investor Relations team.

Associate General Counsel Responsibilities:

  • Support the preparation and review of SEC filings, including registration statements, Forms 10-K, 10-Q and 8-K, proxy statements, and Section 16 reporting;
  • Review 10b5-1 trading plans and assist with administration of insider trading policy;
  • Assist in overall corporate secretarial functions, including preparation of notices, agendas, and materials for board of directors and committee meetings and leading preparation for annual shareholder meetings;
  • Provide counseling and training regarding Regulations FD and G and insider trading and related party transactions review;
  • Assist with various strategic transactions including due diligence, drafting, and negotiation of transaction documents involving mergers and acquisitions, joint ventures, and other investments; and
  • Provide legal support for finance department (including investor relations), the corporate communications department, and the executive compensation/human resources department.

Associate General Counsel Required Qualifications:

  • 5+ years of transactional legal experience, a mix of law firm and in-house experience is strongly preferred;
  • Comprehensive knowledge of SEC regulations, the NASDAQ stock exchange rules, and other securities-related laws;
  • Experience preparing SEC 1933 and 1934 Act reports and filings, assisting with M&A transactions and drafting and negotiating commercial contracts;
  • Excellent oral and written communication skills, as well as strong drafting skills;
  • Sound judgment and decision-making abilities; and
  • JD and in good standing in at least one state with the ability to waive into Illinois bar.
