EpsteinSchwartz has a new opportunity for an experienced attorney to join an established public company. Our client, an international metals company based in Chicago, is hiring a Corporate Counsel, Securities & M&A with 5-7+ years of M&A, finance and capital markets experience. The Corporate Counsel will partner closely with the Finance and Investor Relations departments, enjoy a broad and complex practice and have the opportunity to be part of a talented, highly-motivated and collaborative team.
Corporate Counsel Responsibilities:
- Provides legal support for capital markets, M&A, and finance transactions;
- Partners closely with Finance and Investor Relations departments on financial reporting and disclosure matters;
- Provides day-to-day legal advice and assistance to functional groups including Treasury, Finance, Investor Relations, Corporate Development, IT and HR;
- Assists with administration of compliance program, including drafting and reviewing of corporate and local policies, development of training materials, and leading of employee trainings;
- Researches various topics as requested by the General Counsel and Managing Corporate Counsel;
- Provides support and advice on strategic initiatives; and
- Supports the General Counsel and Managing Corporate Counsel.
Corporate Counsel Qualifications:
- 5-7+ years of relevant corporate experience, with a combination of both private law firm and in-house public company experience preferred;
- Excellent drafting skills, with experience preparing M&A, commercial and finance agreements, as well as preparing SEC ’33 and ‘34 Act reports and filings and researching and applying SEC rules;
- Solid understanding of legal concepts applicable to public companies and to mining or similar heavy industries preferred;
- Capable of mitigating risks while continuing to further business objectives;
- Detail-oriented with the ability to interpret complex data and reports;
- Excellent interpersonal skills; and
- JD and in good standing in at least one state with the ability to waive into Illinois bar.
