EpsteinSchwartz has an exciting new in-house opportunity. Our client, an established and entrepreneurial real estate investment firm with a national presence and a large Chicago office, is hiring an Associate General Counsel, Corporate with 7-12 years of commercial transactions, corporate contracts and construction contracts experience. This attorney will lead the negotiation, drafting and review of a variety of agreements and will collaborate closely with internal business teams and external partners. This attorney will play a pivotal role in the legal team, efficiently facilitating the company’s commercial transactions while protecting the company’s interests.
Associate General Counsel, Corporate Responsibilities:
- Negotiate, draft, and review commercial agreements including SAAS and other technology contracts as well as joint ventures, construction, property management, vendor, marketing, advertising, consulting and staffing agreements;
- Assist with privacy, trademark and copyright law enforcement;
- Support transactional activities related to property divestitures and acquisitions by ensuring contracts are reviewed, assigned, amended, or terminated as needed;
- Identify, review, and summarize legal, financial, and business issues within both standard and non-standard agreements and contracts, providing practical guidance to stakeholders;
- Partner with business stakeholders and internal legal team members to develop, update, and maintain contract templates and standardize processes to improve efficiency in contracting;
- Engage, manage, and oversee outside counsel as needed; and
- Support special projects and other duties as assigned.
Associate General Counsel, Corporate Qualifications:
- 7-12 years of experience managing commercial contracts and transactions gained through a law firm or in-house practice;
- Proven ability to independently lead the structuring, drafting, negotiation, management, and execution of sophisticated commercial transactions;
- Experience negotiating and managing construction and development contracts is preferred;
- Excellent verbal and written communication skills and strong negotiating ability, with an eye toward pragmatic, mutually beneficial outcomes;
- Familiarity with various contracts lifecycle management solutions, previous implementation experience is a plus;
- Proven ability to handle a diverse and high-volume workload, while providing client service in a professional manner; and
- D. from a leading law school, with proven academic success.
Associate General Counsel, Corporate Compensation:
- Anticipated base compensation range for this role is $170,000 – $230,000. Bonus and highly competitive benefits package are provided.
